Effective Date

These Terms of Use ("Terms") are effective as of June 13, 2026. By downloading, accessing, creating an account, or using FocusPace, you agree to these Terms. If you do not agree, do not use FocusPace.

1. Who We Are

FocusPace is developed by Squaretail Studio. Our support channel is contact@squaretailstudio.com. These Terms form a legally binding agreement between you and FocusPace.

2. Eligibility

You must be at least 16 to use FocusPace. If you are under 18, you represent that a parent or legal guardian has reviewed and accepted these Terms for you.

In the EEA, you must be at least 16 or the applicable age of digital consent in your country to process personal data without parental consent.

3. Your Account

You must provide a valid email, maintain secure credentials, accept responsibility for activity under your account, and notify contact@squaretailstudio.com if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms.

4. Description of Service

FocusPace is a productivity application with adaptive features and AI. Features may include notes with rich media and scanning, spaced-repetition flashcards, tasks, plans, milestones, Focus Maps, a focus timer, mistake review, analytics, collaborative sharing, library-based content support, offline sync, and Spark AI insights.

Features may evolve, change, be limited, or be discontinued for product, security, legal, platform, provider, or operational reasons.

5. Your Content

You retain ownership of notes, focus cards (flashcards), tasks, focus maps (mind maps), plans, drawings, recordings, prompts, saved AI outputs, and other material you create ("Your Content").

You grant FocusPace a limited, non-exclusive, royalty-free, worldwide license only to host, store, sync, process, display, transmit, back up, and otherwise use Your Content as needed to provide, secure, support, and improve FocusPace and its features. We do not use Your Content for advertising or AI training without separate explicit consent.

You are responsible for ensuring your content is lawful and does not infringe the rights of others.

6. Spark AI Features

FocusPace may provide AI-generated summaries, flashcards, focus maps, mistake-log analysis, revision suggestions, learning detection, and productivity insights through Spark AI.

AI outputs are generated automatically and may be wrong, incomplete, or unsuitable for your situation. Review all AI outputs before relying on them.

Spark AI is not a substitute for professional advice, teacher guidance, medical advice, legal advice, financial advice, or safety-critical decision-making. FocusPace does not guarantee grades, exam results, productivity results, or learning outcomes.

FocusPace may limit, suspend, or remove AI features to comply with law, provider terms, safety rules, platform requirements, or product needs.

SPARK AI IS METERED Spark AI is not unlimited on any plan. Every plan includes a monthly allowance of AI credits, and each Spark action costs a set number of credits depending on the work it does, so a longer or more demanding request costs more than a short one. Credits are deducted only when a request produces a result you can see: cached results, requests Spark declines, and failed generations do not consume credits. When your allowance is used up, Spark features pause until your allowance resets or you add credits, and the rest of FocusPace continues to work normally. Some Spark features require a Premium plan regardless of your credit balance. Current allowances, credit costs, purchases, and expiry are described in section 10 and shown in the app.

REPORTING SPARK CONTENT FocusPace provides an in-app flagging feature on every Spark AI output so you can report content directly without leaving the app. To use it, tap the flag icon that appears on any Spark-generated response — including Spark Insights, Task Spark, Mistake Spark, and For You study recommendations. Select the reason that best describes the issue (offensive or harmful, inaccurate or misleading, inappropriate, or other) and add optional details. FocusPace reviews all submitted reports to identify and address problematic AI outputs, update content-generation guidance, and maintain compliance with applicable platform content policies. Submitting a report does not guarantee removal or modification of the flagged content, but your feedback directly informs how we improve Spark responses. You agree not to misuse the flagging feature by submitting false, fraudulent, or bad-faith reports.

7. Collaborative Sharing

You may invite registered users to shared notebooks and assign roles such as viewer or editor. Shared material becomes accessible according to the assigned role.

You are responsible for invitations and shared content. Removing access cannot retract copies already viewed.

8. Acceptable Use

You may not use FocusPace for unlawful, harmful, abusive, infringing, fraudulent, or malicious content; distribute disruptive code; seek unauthorized access; bypass security, rate limits, subscriptions, or access controls; scrape, harvest, or misuse data from FocusPace, Google, or other third-party services; use automated tools to abuse AI, backend, or sync systems; reverse engineer the application except where law permits; misuse the service commercially; or violate applicable law.

9. Intellectual Property

FocusPace software, designs, logos, trademarks, and brand elements belong to FocusPace or its licensors. Open-source libraries remain subject to their respective licenses.

10. Subscriptions and Payments

FocusPace is offered on a Free plan and a paid Premium plan. Premium is sold as a subscription with weekly, monthly, and annual billing periods. Premium includes a larger monthly allowance of AI credits and removes the Free plan's limits on flashcard decks, Focus Maps, shared notebooks, and session history.

PRICES AND BILLING Prices, the billing period, and any introductory or trial offer are shown in the app and in the relevant app store before you confirm a purchase. Prices vary by country and may change; a change will not affect a billing period you have already paid for. Payment is charged to your app store account on confirmation. Subscriptions renew automatically at the then-current price until cancelled, and you can cancel at any time in your Apple App Store or Google Play account settings. Cancelling stops the next renewal; it does not shorten the period you have already paid for, and Premium remains active until that period ends.

AI CREDITS Spark AI features are metered in credits, as described in section 6. Each plan includes a monthly credit allowance that resets at the start of each billing cycle. Unused allowance credits do not roll over into the next cycle. Different Spark actions cost different numbers of credits, and the current allowances and per-action costs are shown in the app.

CREDIT PACKS You can buy one-time credit packs in addition to your monthly allowance. Credit packs are a consumable in-app purchase, not a subscription, and they are not required in order to use FocusPace. Purchased credits are added to your account and are used only after your monthly allowance for that cycle has been spent. Purchased credits remain available if your Premium subscription lapses.

CREDITS ARE A LICENCE, NOT MONEY AI credits are a limited licence to use a metered feature of FocusPace. They have no cash value, are not a stored-value or prepaid instrument, are not your property, and cannot be transferred, sold, exchanged, gifted, or redeemed for money except where the law requires otherwise.

CREDIT EXPIRY Purchased credits expire twelve months after the date of purchase. Where you hold credits from more than one purchase, the credits closest to expiring are used first. Credits that are unused when they expire are forfeited and are not refunded, extended, or replaced. The app shows the expiry date of each credit pack you hold and warns you before a pack expires. Your monthly allowance is separate: it does not carry over from one cycle to the next, so it is used or lost within its own cycle.

REFUNDS AND CHARGEBACKS Purchases are processed by the Apple App Store or Google Play rather than directly by FocusPace, and refunds are handled by that store under its own policy. FocusPace cannot process a store refund on your behalf. Where a purchase is refunded, reversed, or charged back, we may withdraw the corresponding access and reclaim any credits granted by that purchase that you have not already spent.

YOUR STATUTORY RIGHTS ARE NOT AFFECTED Nothing in this section limits any right you have under consumer law that cannot be waived by agreement. If you are a consumer in the EEA or the United Kingdom, you have a statutory right to withdraw from a purchase within fourteen days. Because credits and Premium access are digital content supplied immediately, you may be asked to request immediate supply and to acknowledge that doing so ends that withdrawal right once supply begins, as the law permits. If you are a consumer in India, your rights under the Consumer Protection Act, 2019 and the rules made under it are unaffected.

CHANGING OR ENDING A PLAN You can move between plans at any time. Ending a Premium subscription, or letting it lapse, never deletes your content: everything you created stays readable and editable, and Free plan limits apply only to creating new items, not to what you already have.

11. Privacy

The collection and use of personal information is governed by the FocusPace Privacy Policy, which is incorporated into these Terms.

12. Third-Party Services

FocusPace may use third-party providers for authentication, cloud storage, sync, analytics, stability, AI features, platform distribution, purchases, and saved YouTube library references. Your use of those services is also subject to their applicable terms and policies.

The FocusPace library may let you save YouTube video references with details such as a video link, title, and thumbnail. FocusPace does not play YouTube videos in an embedded player, and you must not use FocusPace to copy, scrape, modify, obscure, or misuse YouTube content except as allowed by YouTube and applicable law.

Third-party services may change, suspend, or discontinue features, which may affect FocusPace functionality.

13. Availability, Changes, and Beta Features

FocusPace may modify, suspend, or discontinue features, including AI, sync, analytics, library, or premium features, for security, legal, platform, provider, operational, or product reasons.

Beta, experimental, or AI features may be unstable, inaccurate, or changed without notice.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not guarantee uninterrupted, timely, secure, or error-free operation, accurate results, correction of every defect, or that Learning recommendations will produce any specific academic, productivity, or business result. Maintain independent backups of important content.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SQUARETAIL STUDIO AND ITS PEOPLE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST DATA, PROFITS, OR GOODWILL.

Total cumulative liability is limited to the greater of the amount paid in the preceding 12 months or USD 100, except where law does not allow that limitation.

16. Indemnification

You agree to defend and indemnify FocusPace and its people against claims and expenses arising from your use of FocusPace, Your Content, a violation of these Terms, or a violation of third-party rights.

17. Termination

You may request account deletion through contact@squaretailstudio.com. We may suspend or terminate access when we reasonably believe these Terms or law have been violated.

Provisions that by their nature should survive termination remain effective after termination.

18. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Any disputes not resolved by negotiation or arbitration will be subject to the exclusive jurisdiction of courts in New Delhi, India.

Disputes should first be addressed through good-faith negotiation. If unresolved after 30 days, binding arbitration may apply except where prohibited. Parties may seek appropriate injunctive relief, and EU consumers retain applicable statutory options.

19. Changes to These Terms

We may update these Terms. Material changes will include an updated effective date and notice in the app or by email at least 14 days before taking effect when required.

20. Severability and Entire Agreement

If a provision is unenforceable, the remaining provisions continue in effect. These Terms and the Privacy Policy form the entire agreement concerning FocusPace and supersede earlier agreements on the same subject.
